These Terms of Service ("Terms") govern your access to and use of DealerSoftware.net ("Platform", "Service"), operated by ABCD Systems LLC ("Company", "we", "us", "our"). By creating an account, clicking "I Agree," or using the Platform, you ("Dealer", "you") agree to be bound by these Terms.

If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

Please read these Terms carefully. They include important provisions about payment fees, liability limitations, your data responsibilities, and dispute resolution.

1 Eligibility & Account Registration

To use DealerSoftware, you must:

2 Platform Description

DealerSoftware provides a cloud-based dealer management system including but not limited to:

Features may vary by subscription plan. We reserve the right to modify, add, or remove features at any time with reasonable notice.

3 Subscription Plans & Billing

3.1 Plans

DealerSoftware offers tiered subscription plans. Current plan details, pricing, and feature availability are displayed on the pricing page at dealersoftware.net/pricing. Plans may be changed at any time; changes take effect at the next billing cycle.

3.2 Payment for Subscription

Subscription fees are billed in advance on a monthly or annual basis. All fees are in USD. By providing a payment method, you authorize us to charge your subscription fee automatically at the start of each billing period.

3.3 Refunds

Subscription fees are non-refundable except as required by applicable law. If you cancel mid-period, you retain access until the end of the current billing period.

3.4 Free Trial

New accounts may be eligible for a 14-day free trial. No credit card is required during the trial. At the end of the trial, you must subscribe to continue using the Platform. Trial data is retained for 30 days after trial expiration.

4 Platform Transaction Fee (0.5%)

Important Fee Disclosure: DealerSoftware charges a 0.5% platform transaction fee on the gross amount of every payment processed through the Platform's payment features. This fee is separate from and in addition to any fees charged by your payment processor.

4.1 How It Works

When a dealer uses DealerSoftware's payment collection features to accept a payment from a customer (for a vehicle sale, lease payment, down payment, BHPH installment, or any other transaction), DealerSoftware collects 0.5% of the gross transaction amount as a platform fee.

Fee disputes must be submitted in writing to support@dealersoftware.net within 30 days of the charge. We will review and respond within 10 business days. Undisputed fees that remain unpaid for more than 30 days may result in account suspension.

5 Payment Processors — Bring Your Own Credentials (BYOC)

5.1 Model

DealerSoftware does not act as a payment processor, payment facilitator, or merchant of record. Dealers must establish their own merchant accounts with a supported payment processor and connect those credentials to the Platform.

5.3 Dealer Responsibility for Processor Compliance

By connecting a payment processor, you agree to:

DealerSoftware is not responsible for processor downtime, account holds, fund freezes, chargeback decisions, or any actions taken by your payment processor. If your processor account is suspended, payments through DealerSoftware will be unavailable until the issue is resolved with your processor.

6 Credential Vault & API Keys

By storing credentials in the DealerSoftware credential vault, you:

DealerSoftware will never share your stored credentials with other dealers or use them for any purpose other than processing transactions you initiate through the Platform.

7 Customer Surcharging

DealerSoftware may provide an optional feature allowing dealers to pass a credit card surcharge to their customers. By enabling this feature:

Surcharging is prohibited in California, Connecticut, Maine, and Massachusetts. DealerSoftware will disable the surcharge feature for dealers registered in these states, but you remain responsible for ensuring compliance in all jurisdictions where you operate.

8 Dealer Responsibilities

As a dealer using DealerSoftware, you are solely responsible for:

DealerSoftware provides document generation tools for convenience. All generated documents should be reviewed by a qualified attorney before use. We do not provide legal advice.

9 Prohibited Uses

You may not use DealerSoftware to:

10 Intellectual Property

DealerSoftware and its underlying software, design, documentation, and content are owned by ABCD Systems LLC and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your dealership's internal business purposes during your active subscription.

You retain ownership of all data you enter into the Platform (inventory, deal records, customer records). You grant DealerSoftware a limited license to use that data to provide the Service, generate documents, and improve the Platform (using aggregated, de-identified data only).

11 Data, Privacy & Security

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:

12 Disclaimers & Limitation of Liability

12.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ABCD SYSTEMS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

12.3 Document Accuracy

DealerSoftware generates documents based on data you provide and templates we maintain. We do not guarantee that generated documents comply with all applicable laws in your jurisdiction. You are solely responsible for reviewing all generated documents before use.

13 Indemnification

You agree to indemnify, defend, and hold harmless ABCD Systems LLC and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including attorney's fees) arising out of or related to:

14 Term, Suspension & Termination

14.1 Term

These Terms begin when you create an account and continue until your account is terminated by either party.

14.2 Cancellation by You

You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of your current billing period. Your data will be retained for 90 days after cancellation and then permanently deleted, except for records subject to legal retention requirements.

14.3 Suspension or Termination by Us

We may suspend or terminate your account immediately, with or without notice, if you:

Upon termination, your right to access the Platform ceases immediately. You may request an export of your data within 30 days of termination. Outstanding platform fees become immediately due and payable.

15 Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. You agree to submit to the personal jurisdiction of courts located in Texas for any disputes arising under these Terms.

15.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@dealersoftware.net and attempt to resolve the matter informally. We will respond within 15 business days.

15.2 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall be conducted in Texas. The arbitrator's decision shall be final and binding. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.

16 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your account before the effective date.

DealerSoftware provides a public payment portal at dealersoftware.net/pay/{dealer-slug} allowing a dealer's customers to pay without creating an account.

How it works

Surcharge Checkbox

The 0.5% DealerSoftware platform fee is always the dealer's cost — it is never visible to or charged to the customer.
